Demerger & listing

Demerger of Ninety One now complete

We are delighted to confirm that the demerger of Ninety One from the Investec Group as an independent specialist investment manager is now complete. Ninety One is now listed on the London Stock Exchange (“LSE”) and the Johannesburg Stock Exchange (“JSE”).

Our new name

We have now changed our name from Investec Asset Management to Ninety One.

Corporate structure

As we have communicated previously, the dual listing has resulted in a change to our corporate structure. The ultimate parent company now listed on the LSE is Ninety One plc (incorporated under the Companies Act 2006 and registered in England and Wales with registered number 12245293) (ticker: N91 LN) and on the JSE this is Ninety One Limited (incorporated and registered in the Republic of South Africa with registration number 2019/526481/06) (ticker: NY1 SJ). Ninety One plc has a secondary listing on the JSE (ticker: N91 SJ).

In addition to the two listed companies, there has been some reorganisation of the corporate structure. Please see our new corporate structure here.

Please note that, from a technical perspective, the demerger and corporate structure change constitutes a ‘change of control’. However, the corporate entity with which you contract will not change, other than its name, and our obligations under the contract will not change. As such, there is no need to recontract, novate or to amend your existing contract with us. We are the same business providing the same services.

What's changing?

Fund name changes

Our new name, Ninety One, will be reflected in the names of our funds between March and June for the various fund ranges we operate around the world.

Details and specific timings will be communicated in due course. There will be no change to the way any of our funds are managed as a result of the demerger.

Change of email addresses

We have changed our email addresses. Our new email addresses follow the format:

Telephone number changes

Many of our telephone numbers have changed. Our new telephone numbers are listed on our website, www.NinetyOne.com, and are now showing in the email signatures of all our staff.

Change of registered address

We have changed the registered address for Ninety One UK Limited, Ninety One Fund Managers UK Limited and certain other entities to 55 Gresham Street, London EC2V 7EL.

What has not changed?

Given that the fundamental fabric of our business – how we invest and our commitment to our clients – has not changed, many familiar elements are remaining the same. This includes bank details, fund codes (eg ISIN and SEDOL) and Legal Entity Identifiers (LEI).

We have chosen a name with a strong connection to our heritage.

We started in South Africa in ‘91. It was a year of transformative change around the world. Significant steps towards the end of apartheid in SA. The fall of Communism in Russia. The year the internet went global.

Being part of that change made us who we are. It taught us the power of active investing – how it can help to create a better future, for our clients, for our firm and for our communities.

Our new name, Ninety One, recognises the momentous time in which we started our firm.
